TERMS OF SERVICE

(TOS)

"Frostpattern operates as an international and remote studio. These Terms are provided for informational purposes only and are not bound to the legal system of any single jurisdiction. Our main principle is to conduct business with fairness, ethics, and common sense. In the unlikely event of a dispute, both parties agree to seek a reasonable and professional resolution in good faith, guided by internationally recognized business practices rather than formal jurisdictional law."

1. Project Scope:

All work will be completed according to the project brief and proposal agreed upon before the start of the project. The scope defines the specific deliverables, style, and services included in the agreement. Any work requested outside the approved scope, such as additional deliverables, new concepts, or expanded features, will be subject to a separate fee or new quotation. Clear communication and approval at each stage ensure the project progresses smoothly and stays within the defined scope.

2. Payments:

  • An initial non-refundable payment is required to begin work.
  • This payment may be structured as either:
      • 30% in three increments, or
      • 50% in two increments,
  • The remaining balance is due before the delivery of the final files.
  • Accepted payment methods include:
      • Major credit and debit cards are processed securely through Payoneer.
      • Stablecoins, such as USDT, USDC, or their equivalents, are transferred via supported blockchain networks.
  • All payments must be made in accordance with the agreed schedule.
  • Late payments may incur additional fees.

3. Client Responsibilities:

The Client agrees to:

      • Provide clear and complete project instructions.

      • Deliver all required assets (logos, references, text, etc.).

      • Give structured, written, and timely feedback during the project.

      • Ensure they hold the necessary rights or licenses for any content provided to Frostpattern.

      • Respond promptly to communication to avoid delays.

4. Ownership & Rights:

      • Frostpattern retains ownership of all work until full payment is received.

      • Upon full payment, the Client receives usage rights as outlined in the agreement.

5. Revisions:

      • Revisions are part of the creative process and will be carried out at each project stage (concept, draft, finalization). Preview files will be shared during these stages.
      • Each stage is editable only during its designated time. Once the Client provides approval, that stage is considered locked. Any later changes to an approved stage will be billed as additional revisions.
      • Minor adjustments (color tweaks, small material changes, text corrections, etc.) are included within the agreed revision rounds.
      • Major revisions (new ideas, significant design changes, scope expansions, or reworking approved stages) will be treated as out-of-scope and billed separately.
      • Frostpattern reserves the right to determine whether a revision is minor or major.
      • Excessive revisions or requests beyond the agreed scope may extend delivery timelines.

6. Portfolio Rights:

        • Frostpattern may showcase the completed work in its portfolio, website, and marketing materials.

        • If the Client wishes to restrict this, it must be explicitly stated in the agreement.

        • In such cases, the Client must provide a publication deadline. After that date, Frostpattern may share the work publicly.

7. Deadlines:

Project timelines will be outlined in the project agreement and depend on timely Client feedback, delivery of required assets, and approvals. Delays in communication or approvals may extend the agreed schedule. Frostpattern is not responsible for missed deadlines caused by Client-side delays.

8. Delivery:

The specific delivery files, including file types, resolution, aspect ratios, size limitations (if required), and any other technical specifications, will be stated in the project quotation or proposal. Final files will be delivered once full payment has been received.

Source or working files (such as project files, 3D assets, or layered files) are not included unless explicitly agreed and may be subject to additional fees.

9. Cancellations & Refunds:

        • Initial payments are non-refundable.

        • If a project is canceled, the Client is responsible for paying for work completed up to that point.

10. Confidentiality:

All confidential information shared by the Client will be treated as private and will not be disclosed to third parties without consent.

11. Liability:

        • Frostpattern is not liable for indirect or consequential damages, including lost profits or opportunities.

        • All work is delivered to industry standards and accepted “as is.”
